Robert P. Wray
Mr. Wray currently serves as President and CEO of
The Capital Corporation, L.L.C. In this capacity, Mr. Wray actively
assists clients in mergers, acquisitions, divestitures, de novo
charter formations and strategic planning. Additionally, Mr. Wray
aids clients in understanding complex transactions and financing
from a legal prospective.
Prior to joining The Capital Corporation, L.L.C.,
Mr. Wray practiced law with one of the largest regional law firms in
the mid-west United States. With a concentration on mergers,
acquisitions, de novo formations and private securities, Mr. Wray
was lead counsel on numerous transactions requiring sophisticated
technical knowledge. Mr. Wray¹s expertise with financial
institutions includes acting as counsel for several de novo charter
applications, assistance in the relocation of a state charter from
one state to another, the formation of bank holding companies and
bank holding company subsidiaries, the restructuring of bank holding
companies and assistance in the sale of financial institutions.
Additionally, Mr. Wray served as outside counsel for numerous
financial institutions providing regulatory assistance and legal
advice on securities, general corporate transactions and loan
documentation. Mr. Wray¹s legal experience outside the financial
institution area was concentrated on private securities offerings,
corporate mergers and acquisitions and strategic tax planning. In
the area of private securities offerings, Mr. Wray authored offering
circulars in a wide array of banking and corporate transactions
ranging from $1,000,000 to over $10,000,000. In addition to drafting
offering circulars, Mr. Wray actively advised clients on the types
of financing, entity structure, tax and regulatory issues associated
with the offerings. In the mergers and acquisitions environment, Mr.
Wray acted as legal counsel in numerous transactions on behalf of
both buyers and sellers. Mr. Wray¹s involvement has been
instrumental in structuring the transactions from a securities and
tax perspective as well as from a documenting standpoint.
Mr. Wray received his Bachelor of Science degree in
Economics in 1986 from Missouri State University. Mr. Wray received
his J.D. from the University of Missouri - Kansas City in 1991. Mr.
Wray is admitted to practice law in both Missouri and Kansas, before
the United States District Court for the Western District of
Missouri, the District of Kansas, the District of Arizona and the
Missouri and Kansas Supreme Courts. Mr. Wray is a member of the
American Bar Association, the Kansas City Metropolitan Bar
Association, the Missouri Bar Corporate and Commercial Law
Committees, and the Kansas Bar Corporate and Real Estate Law
Committees.
Dean K. Johnson
Mr. Johnson currently serves as Managing Director of The Capital Corporation, L.L.C. In this capacity, Mr. Johnson actively assists financial institution clients in merger, acquisitions, de novo charter formations and strategic planning.
Mr. Johnson has over 30 years of banking experience. Prior to joining The Capital Corporation, L.L.C., Mr. Johnson was Vice President - Acquisitions for Community First Bankshares, Inc. in Fargo, North Dakota. Mr. Johnson, as Vice President - Acquisitions, was responsible for locating and analyzing commercial banks in Kansas, Missouri, Nebraska, Colorado and Oklahoma for a possible acquisition by Community First. Before joining Community First, Mr. Johnson was Vice President of the Financial Institution Group for FirsTier N.A., in Omaha, Nebraska. Mr. Johnson began his banking career in 1969 with Hutchinson National Bank and Trust Company, Hutchinson, Kansas, which became Emprise Bank, N.A. in 1989. Mr. Johnson has concluded his tenure with Hutchinson National Bank as President and CEO of the bank from 1986 to 1991.
Mr. Johnson received his Bachelor of Science degree in Agriculture in 1966 from Kansas State University. Mr. Johnson also successfully completed the program at the Graduate School of Banking, Madison, Wisconsin in 1976.
Mr. Johnson has served as a Kansas Banker Association Board Member and has chaired various committees. Mr. Johnson has served as Chairman of the Board of the Kansas Cosmosphere and Space Center and as Chairman of its $10,000,000 fund raising expansion. Mr. Johnson has also served as a Board Member of the J. H. Shears Construction Company, a large, regional paving contractor.
Brenda Wray
Ms. Wray currently serves as Office Manager.
Prior to joining The Capital Corporation, L.L.C., Ms. Wray worked
for The City of Overland Park for 9 years in the Information
Technology Department.
Prior to that she worked as a Paralegal at Payne and Jones Law firm.
Ms. Wray received her Bachelor of Science in Human Resources
Management from Missouri State University.
She also holds a professional degree from University of
Missouri Kansas City as a Paralegal.
